David and Wayne will be discussing the duties that directors owe to their companies, with a particular focus on some of the potential conflict issues faced by directors in a highly regulated jurisdiction such as Guernsey including discussion around how to identify those conflicts and how to manage them.

WAYNE ATKINSON
Group Partner, Collas Crill

Wayne works with a broad range of regulated entities and investment funds on fundraising, transaction and investment structuring, commercial contracts and mergers and acquisitions. Wayne also advises businesses on regulatory compliance including money-laundering issues, listing rules requirements, competition law, data protection and Guernsey financial services regulation more generally.

Wayne has considerable expertise in assisting company boards and activist shareholders in relation to contentious general meetings and associated issues arising out of investor actions.

A regular speaker at events in relation to company law, regulatory and fund matters, Wayne is well known for his down-to-earth plain speaking approach to explaining complex legal and regulatory issues.

DAVID O'HANLON
Partner, Collas Crill

David is a partner in the Guernsey dispute resolution team at Collas Crill. He has a broad experience of commercial litigation and professional negligence matters, often with cross-border or jurisdictional issues.

David advises directors, shareholders and corporate service providers on contentious corporate matters such as shareholder or board disputes, claims against directors and advice on issues such as potential conflicts of interest. Recent work includes acting for the Independent Directors in Carlyle Capital Corporation Limited (in liquidation) and ors –v- Conway Jr and ors in their successful defence of a claim for in excess of $1 billion brought by the liquidators of Carlyle Capital Corporation Limited (in liquidation).
