In this seminar we will discuss the issues commonly encountered by directors when a fund is near, at or even past the end of its natural life. We will consider the legal and regulatory environment for funds that have reached a natural end, are facing early termination (whether distressed or otherwise) and even the dreaded “zombie” funds. We will also suggest how directors may plan for the exit from the very outset of a fund’s life.

DAVID CROSLAND
Partner, Carey Olsen

EXPERIENCE
David undertakes a wide range of corporate transactions with particular experience in the launch of investment funds gained from working at Clifford Chance, ABN Amro and Carey Olsen.
He is regularly instructed by fund managers, UK and international law firms and other financial services firms on the launch, administration, restructuring and listing of both closed and open-ended investment funds.
As well as private funds, David has advised funds that are listed on the LSE, AIM, Euronext and the CISE.

CAREER
David trained at Clifford Chance in London qualifying as an English solicitor in the Private Funds Group in 2004. While there he specialised in the establishment of institutional closed-ended investment funds particularly private equity, real estate and infrastructure funds. In 2006 he spent nine months on secondment at ABN AMRO advising on the structuring and launch of institutional fund-linked investment products, before joining Carey Olsen in May 2007. David became a partner in 2013.

EXPERIENCE
Tony advises clients on a wide range of corporate matters including mergers and acquisitions, equity fundraisings, flotations, joint ventures, corporate governance issues and the rules of public equity markets. He also advises on all aspects of the establishment, regulation and operation of investment funds.
Tony has extensive experience in advising clients on all aspects of mergers and acquisitions, whether in relation to a public takeover or scheme of arrangement, the private sale of an international corporate group or in relation to a private sale of a local owner-managed business.

CAREER
Tony joined Carey Olsen in August 2008 having previously been a partner, and head of corporate, at Wedlake Bell in London. Tony qualified as a solicitor in England and Wales in 1998 (currently non-practising) and was called as an Advocate of the Royal Court of Guernsey in 2010. He was made a partner at Carey Olsen in 2015.

TIM CORFIELD

EXPERIENCE
Tim is a Partner and Advocate in the Litigation and Dispute Resolution Group. He specialises in advisory and trial work with expertise in banking and financial services litigation, company law disputes and contentious corporate transactional matters, along with significant experience in the field of corporate insolvency and general commercial litigation. During his career he has appeared in matters before the English High Court, the Royal Court of Guernsey and the Guernsey Court of Appeal.
Tim’s representative work, which often has an international / cross-border element, includes: fund redemption and investor disputes; combating shareholder activism; litigation in relation to misselling and misrepresentation; complex advisory and litigation work involving the construction of investment management agreements; merger/acquisition disputes; joint venture, shareholder and partnership disputes and petitions for unfair prejudice, including the first derivative action in Guernsey; contentious and non-contentious schemes of arrangement; and disputed insolvency processes. Tim also has experience across a diversity of commercial sectors, from professional negligence claims (accountants, law firms, administrators and custodians), regulatory investigations (financial services) to oil and gas disputes in Russia and the CIS. He has been involved in cases arising from the collapses of Enron, Lehman Brothers, the Icelandic Banks and Bernard L. Madoff Investment Securities, LLC.
Tim also has a strong ‘board advisory’ practice, assisting boards of directors (or committees or constituents thereof) on commercially sensitive investigations and transactions, as well as advising distressed corporates, directors and secured and unsecured creditors in formal crossborder and domestic restructuring and insolvency proceedings.
Tim’s clients include investment banks, hedge funds, private equity houses and other financial institutions, as well as corporates and individuals. He is regularly instructed by Magic Circle, City of London and US law firms. Tim is cited as a “Leader in his Field” by the IBA’s ‘Who’s Who Legal’ in their Global Commercial Litigation publication. His memberships include the International Bar Association, the Chancery Bar Association, INSOL and the Institute of Directors.
