The dynamics of a captive’s boardroom
An interactive discussion using the knowledge in the room on the power struggles that take place in a captive boardroom including:
Who do you think is in charge? Is it the Chairman, the Client, the Manager, the NED or the Secretary? They all have valid claims.
How can you get the meeting onto your own agenda? How much should be discussed outside of the meeting? What if you want the meeting to pass over a stone that you would prefer to leave unturned?
It is intended that the workshop draws out some insights in relation to the behaviour of captive boards. It is anticipated these will have wider application across the finance industry.

JOHN ROWSON
Executive Director, Aon

John is the head of the Guernsey White Rock companies and manages a portfolio of Captive clients with a particular focus on ILS transactions. From January 2009 he was based in Chicago as the Director of Risk Finance Consulting to deliver differentiated solutions to Aon clients, through various projects utilizing captive, risk finance and actuarial expertise working with a wide range of clients in various industries including energy, financial services and pharmaceuticals. John originally joined Aon in 2002 and his first seven years were spent managing captives and protected cell companies in Guernsey and subsequently Gibraltar.

GRAHAM POWELL
Executive Director, Aon

Graham is an Operational Executive with responsibility for a wide range of insurance clients. This responsibility includes all aspects of captive management including board membership, company secretarial, corporate governance, underwriting, reinsurance, claims, accountancy, investments, liaison with the regulator etc. He attended his first captive board meeting in 1980 and since then has had the pleasure of participating in a further 1500 or more such meetings.
Graham is a Chartered Insurance Practitioner, holds a BSc in Business Administration from Bath University, is a member of the Institute of Directors and is a member of the NED Forum. He has also been the President of the Insurance Institute of Guernsey.
